Terms of Service.

These Terms of Service govern use of Board Badger. Board Badger is operated by Dale Mooney, a sole trader based in the United Kingdom, referred to throughout as the Operator. Creating an account or using the service constitutes acceptance of these Terms, which form a binding agreement between the account holder and the Operator. The language is kept plain deliberately; that does not make it any less of a legal agreement.

Who can use Board Badger

Account holders must be at least 18 and able to enter a binding contract. An account opened for a business confirms that the person opening it is authorised to accept these Terms on that business's behalf. One person or business per account.

The service

Board Badger provides a task board for each client project, through a web application and an MCP interface for AI agents. It is provided on an "as is" and "as available" basis. The Operator may add, change, suspend or remove features, or the service itself, at any time, and will give reasonable notice of any significant change within the Operator's control. Board Badger is in early access, and features may change or be withdrawn.

Accounts

Account holders must keep their login details secure and provide accurate information, and are responsible for everything done under their account, including by any AI agent or MCP client connected to it. Suspected unauthorised access should be reported promptly to security@boardbadger.com. To the extent the law allows, the Operator is not liable for loss arising from a failure to keep credentials secure.

People invited to a board

An account holder may invite named people to a board they own. Those people do not hold an account, and their access is granted, limited and withdrawn by the account holder. The account holder is responsible for who they invite, for having a lawful basis for entering that person's name and email address, and for what is put on a board those people can read. An invited person accepts these Terms by using the board, and must not attempt to reach any board other than the one shared with them.

Acceptable use

Board Badger must be used lawfully and as intended. It must not be used to break any law or infringe anyone's rights; to upload malicious or harmful content; to gain unauthorised access to, disrupt, overload, reverse engineer or probe the service; to reach the service by automated means other than the interfaces provided; or to resell or white-label it without the Operator's written permission. The Acceptable Use Policy sets this out in full. The Operator may investigate suspected breaches and act on them, including removing content and suspending accounts.

Content on a board

Account holders own the boards, tasks, notes and comments they enter, and grant the Operator the permission needed to host, process and display that content in order to run the service. Account holders are responsible for the accuracy of what is on a board and for what a client can therefore read. Personal data is handled as set out in the Privacy Notice and the Data Processing Agreement.

Keep your own records

Board Badger is a working board, not an official system of record. It holds no due dates and sends no deadline reminders, and it is not a substitute for a contract, a statement of work or an invoice. Account holders remain responsible for keeping their own copies of anything that matters commercially or legally.

No export today

At the date of these Terms there is no export feature. An account holder can read everything on their boards through the web application and through the MCP interface, and nothing else. This is stated so that nobody plans around a facility that does not exist.

Third-party services

Board Badger relies on third parties, including Cloudflare for hosting and Resend for email, together with any AI or MCP client an account holder chooses to connect. Those providers' own terms govern their part. The current list is published on the Sub-processors page.

Price

Board Badger is free while it is in early access, and no payment card is taken anywhere in the service. The price page sets out what that covers. Existing accounts will be given reasonable notice before any charge is introduced.

Availability

The Operator aims for high availability but does not guarantee that the service will be uninterrupted or error free, and may carry out maintenance. The Operator is not liable for downtime outside the Operator's reasonable control.

Warranties

To the fullest extent the law allows, all implied warranties, terms and conditions are excluded, including satisfactory quality and fitness for a particular purpose. This does not affect the statutory rights of a consumer.

Liability

Nothing in these Terms limits or excludes liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, the Operator is not liable for indirect or consequential loss, or for loss of profits, revenue or data. Board Badger is supplied free of charge, and the Operator's total liability for all claims in any twelve month period is limited to £50.

Indemnity

The account holder agrees to cover the Operator's reasonable losses, damages and costs arising from a third-party claim resulting from the account holder's content, their use of Board Badger, their invitation of another person to a board, or their breach of these Terms or of the law. This does not apply to the extent the claim is caused by the Operator's own breach or negligence.

Suspension and termination

An account holder may stop using Board Badger at any time. There is no button in the product that closes an account; closure is done by hand, on a written request to privacy@boardbadger.com from the account's own address, as set out in the Privacy Notice. The Operator may suspend or close an account for breach of these Terms, or where reasonably necessary for legal, security or safety reasons, giving notice where practical.

Changes to these Terms

These Terms may be updated from time to time. Reasonable steps will be taken to notify account holders of any significant change. Continued use of Board Badger after a change constitutes acceptance of the updated Terms.

General

These Terms, together with the Privacy Notice, are the entire agreement between the account holder and the Operator. If any part is found unenforceable, the rest continues to apply. Rights under these Terms may not be transferred without the Operator's consent.

Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. For a consumer, this does not affect statutory rights that cannot be excluded by law.
